“BHTT” Blue Horizons Travel & Tours, Inc.
“Supplier” Any Supplier offering accommodation and/or hospitality services to BHTT
“Agent” Any client agent of BHTT
“Customer” Clients of the Agent utilizing services and/or accommodation provided by BHTT

BHTT is a Destination Management Company (DMC) operating as a wholesaler of travel products and services in the Philippines. The following ‘Terms and Conditions’ outline the contractual basis upon which BHTT offers for sale Supplier’s accommodation, ancillary products and other travel services to Agents:

1. Scope of Product Sale
BHTT acts to promote, market and conclude sales of the rooms and travel related services, and at its discretion to Agents at the prices and allocations set out in the contract. BHTT may act as the sole provider of the services or may source the services and/or accommodation through one of its Suppliers.

2. Product Description
BHTT warrants to the Agent that all information and descriptive matter about the products and/or services provided by BHTT is legible, comprehensible and accurate at the time of the booking. BHTT will immediately inform the Agent should any information, descriptive matter or particulars supplied to the Agent or its Customers become inaccurate. BHTT’s Product Catalogue contains description of places with photographs and maps. These are for general information and may not accurately reflect actual routings.

3. Accommodation
Some destinations require accommodation in basic guesthouses and lodges with shared facilities, sometimes with cold water only. Some  accommodations do not provide air-condition while some accommodations do not have 24/7 electricity supply.

4. Transportation
All land transfers are provided with the newest and best available vehicle which fulfill the needed requirements. In some destinations a transfer by a third party is provided. Sometimes vehicles (such as jeepneys) do not meet international standard and are not equipped with seatbelts in every row. Sea and air travel is provided by Suppliers which operate under
the national regulations.

Due to limited space available on vehicles, the Customers’ luggage will be accommodated to the maximum extend. In case where no space is available, the Customer will be requested to leave behind or ship the excess luggage. Travelling by boats and ferries as well as aircrafts is subject to restriction on luggage size and weight. Additional luggage allowance may be possible and can be purchased ahead of time or on the spot.

5. Transfers
Transfers in cities (Manila and Cebu) are affected by heavy traffic. Ample time is required to allow Customers to arrive to/from the airport or other points. Customers with pre-arranged ‘meet and assist’ request and who will be arriving at airports are met by BHTT airport representatives outside the customs/luggage claim area carrying a signage with the name of respective Customers.

BHTT vehicles on land transfers are normally equipped with complimentary internet. The Wi-Fi uses the mobile phone network and as a result the connection will be slower than standard broadband and at time may not be available.

6. Prices
All prices are net per person in US Dollars ($) unless otherwise stated. Prices quoted are subject to change. Price changes may occur by reasons of matters outside BHTT’s control, which increase the cost of the services, and in which BHTT arranges for Agent/Customer. Such factors include adverse currency fluctuations, fuel costs, taxes and accommodation increases. The price is only guaranteed once confirmed and paid in full.

7. Payment Arrangements
BHTT will collect payment(s) from the Agent for the services booked as agreed in the payment terms. The Agent warrants that the payment will cover all the services utilized by its Customers as per the confirmed booking. BHTT reserves the exclusive right to withdraw any of the booked services should the Agent fail to facilitate the payment in due time. In the event that Agent has failed to remit the full amount required, BHTT may collect the balance directly from the Customer in the Philippines.

8. Reservation
All reservations by Agent must be made in writing per email or other ways of written electronic means. The reservation must contain Customers’ names as in their passports. The Agent warrants that the Customers will be in position of valid travel documents, such as visas. BHTT may provide visa support if requested. The Agent warrants that Customers under the age of 18 years are accompanied by an adult. BHTT will reply to reservations within 24 hours excluding weekends and public holidays. The reservation will be confirmed along with relevant documentation such as the final itinerary, vouchers, and air tickets. The Agent is expected to issue to its Customers all the necessary documents including vouchers indicating that the booking was made by BHTT. Shall the Agent not provide its Customers with vouchers, the Customers may use their passport as proof of identification to avail of services and/or accommodation.

9. Special Requests
The Agent must inform BHTT at the time of the reservation about Customers’ special requests and needs, such as dietary requirements, non-smoking  room, ground floor accommodation,  or disability access. BHTT will make reasonable efforts to accommodate such requests, but will not be responsible for any denial of services by its Suppliers nor for any additional expenses incurred. Vehicles are not equipped with wheelchairs ramps unless specifically arranged. BHTT does not provide individual assistance to Customers for walking, getting on/off buses and other transportation vehicles, or other personal needs. Customers who need special assistance must be accompanied by a qualified and physically able companion.

10. Cancellations and No-Shows
The Agent shall notify BHTT by email of any cancellation, early departure or reduction of confirmed services. Cancellations are subject to the following charges unless specified otherwise:
• More than 31 days prior to arrival: no cost

• Between 30 days and 22 days before arrival: 20% of total tour cost

• Between 21 days and 15 days before arrival: 35% of total tour cost

• Between 14 days and 8 days before arrival: 50% of total tour cost

• Between 7 days and 72 hours before arrival: 75% of total tour cost

• Less than 72 hours (not including weekends) before arrival, and no show: no refund. Actual cancellation terms are subject to each individual hotel policy (remark: allowing 24h notice). For flights, actual cancellation and change terms are subject to each airline’s policy (remark: fees may apply).

No refunds will be made for unused services once travel arrangements have commenced. This policy may vary during holiday and peak seasons, and according to the cancellation policies of the Suppliers.

11. Availability and Overbookings
BHTT will make every effort to provide the services and/or accommodation as per confirmation. Due to factors outside BHTT’s control, BHTT reserves the right to use alternative accommodation and services as well as change the itineraries of the program. If services or accommodations are not available because of overbooking, it will re-book the Customers to the next available service and/or next available accommodation of the same or higher standard. In case of withdrawal of services due to Suppliers’ maintenance or construction work, BHTT will inform the Agent on the best alternatives for the already booked services.

12. Claims
All claims must be received by BHTT in writing within 30 days after the end of the Services. Claims receive after this deadline shall not be considered. Both parties agree that all disputes, claims and litigations regarding the services shall first be settled by way of negotiation and mutual understanding. In the event such negotiation and mutual understanding fail, the disputes, claims or litigation shall be settled by the Courts of the Philippines as stipulated in Clause 19 of this Agreement.

13. Compliance
BHTT is a fully accredited travel agency in the Philippines and warrants its compliance with all applicable national and local laws, rules, legislations and trade regulations relating to the nature and sale of its services.

14. Liability
BHTT will do its utmost to provide the services to the best of its capacity and to the satisfaction of the Agent and the Customers. It is the understanding of the Agent that BHTT acts only as an intermediary for land, sea and air transport companies and for hotels, resorts and other Suppliers of services. BHTT cannot be held liable to the Agent by reason of breach of services or unsatisfactory services provided by BHTT’s Suppliers or by way of indemnity or in tort or otherwise, for any loss, injury, damage, delay, change in schedule or other adverse events sustained from Suppliers’ delivery of their respective services.

15. Limitation of Liability
Neither party shall be liable to the other by reason of any representation or any implied warranty, condition or other term or in tort (including negligence) or any duty at law, under the express terms of this Agreement for any indirect or consequential loss or damage, or for any monetary or economic loss or for any loss of profit, loss of uses, loss of contracts, loss of business, depletion of goodwill, costs, expenses or claims for consequential compensation whatsoever which arise out of or in connection with this Agreement. Nothing in this Agreement excludes or limits either party for death or personal injury caused by that party’s negligence or fraudulent misrepresentation.

16. Force Majeure
BHTT cannot accept any responsibility for and shall not be liable in respect of any loss, damage, cancellation or changes to the booked services caused by circumstances outside its control including, without limitations, war or threat of war, acts of terrorism, riot, civil strife, industrial dispute, terrorist activity, natural and industrial disaster, fire, adverse weather conditions, flooding all similar events outside of our control.

17. Customer Data
All bookings must contain the accurate names of the Customers as in their passports. BHTT might request for other personal and confidential information of the Customers from the Agent if so required by the governing law and regulations and/or by its Suppliers.

18. Confidential Information
At all times during this Agreement and after its termination, each party shall keep all information confidential and not disclose it for any purpose other than the performance of its obligations under this Agreement. “Confidential Information” means any information, which is disclosed by one party to the other for the purposes of this Agreement (whether verbally or in writing), including (without limitation) business partners, past or present customers, financial information, know-how and intellectual property of such party.

19. Law and Jurisdiction
These standard Terms and Conditions, as part of the contract, shall be construed and governed by the laws of the Republic of the Philippines and parties irrevocably submit to the non-exclusive jurisdiction of the Courts of the Philippines to settle any dispute that may arise.

20. Entire Agreement
This Agreement sets out the entire agreement and understanding between the parties with respect to the subject matter hereof and is valid unless specifically agreed otherwise between the parties. This Agreement will continue to be in effect for the entire duration of collaboration between both parties.
